TiE Institute Event: Public Advertising for Fundraising

A recent regulatory change has fundamentally altered the fundraising landscape for startups. The recently passed JOBS act lifted an 80-year ban on “general solicitation” -i.e., public advertising- when startups are raising money. Until recently, entrepreneurs were required to have a “pre-existing relationship” with the prospective investor specifically were prohibited from soliciting from the general public. The SEC has now issued the final rules that go into effect on September 28, 2013, allowing entrepreneurs to solicit from the general public. This is very exciting news, but the change has its pitfalls! Entrepreneurs raising money must know how to operate in this environment.

Mike’s results-oriented work has garnered him awards including “Email Campaign of the Year” from the Email Experience Council (EEC) a division of the DMA, and “Best Consumer Products Website of the Year” by the American Business Association (ABA). Mike also serves as a SEMPO (Search Engine Marketing Professional Organization) board member.

One of Arizona’s top veterans of private placement/venture financing, Michael Hool advised hundreds of entrepreneurs and investors in their fundraising efforts and has been an active champion for capital formation in the Southwest for over 25 years. In addition, Michael has formed over 40 capital funds for domestic and international investment. Michael practices actively in the Southwest, Rocky Mountain, SoCal and Silicon Valley markets. Michael is former chairman of the Arizona Venture Capital Conference and Invest Southwest, he helped launch two successful angel investor groups in Arizona, and wrote the first SEC “No-Action” letter for The Capital Network, permitting investor matching for the SBA’s Ace-Net program. Michael currently serves on the boards of BioAccel, Conscious Capital Arizona, and TiE Arizona.
